Terms of Use

Please read these terms carefully before using the Last Price platform. By accessing or using the service you accept these terms.

1. Acceptance

By accessing or using Last Price (including the dashboard, the public API, SDKs, and any demo applications) you agree to be bound by these Terms of Use. If you do not agree, do not use the platform.

2. Description of service

Last Price is a Pricing Compute Network (PCN): a metered API platform that routes pricing inference requests to built-in and marketplace-registered pricing functions, measures token-equivalent input/output units per call, and settles usage-based billing. The platform is currently in public beta; features and pricing may change.

3. Permitted use

You may use Last Price to:

  • Run pricing inference requests against built-in or registered functions.
  • Build products, integrations, and automated workflows that rely on the API.
  • Register and monetize your own pricing functions via the Marketplace.

You may not use Last Price to:

  • Violate any applicable law or regulation.
  • Circumvent rate limits, billing controls, or access restrictions.
  • Reverse-engineer or extract proprietary function logic belonging to another Marketplace provider.
  • Send payloads containing unlawful content or personal data beyond what is necessary for pricing computation.

4. API metering and billing

Every inference call is metered by input units, output units, and a per-function cost multiplier. You are responsible for all charges incurred under your tenant and workspace accounts. Credits purchased are non-refundable except where required by law. We reserve the right to suspend access if payment obligations are not met.

5. Account and credentials

You are responsible for keeping your API keys, JWT tokens, and workspace credentials secure. You are liable for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access. We may revoke credentials if we detect abuse or a security risk.

6. Intellectual property

Last Price and its built-in functions (Jale, Elo, Rosetta) are owned by or licensed to Last Price. Your use of the platform does not grant you ownership of any platform intellectual property. You retain ownership of data and logic you bring to the platform; by registering a Marketplace function you grant Last Price a limited license to route calls to it and display its metadata to users.

7. Beta disclaimer

The platform is provided during the current public beta period on an "as is" basis. Features may be added, modified, or removed. SLAs and uptime guarantees are not offered during beta. We will make reasonable efforts to notify users of breaking changes.

8. Limitation of liability

To the maximum extent permitted by applicable law, Last Price shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue or data, arising from your use of or inability to use the platform. Our total liability to you for any claim shall not exceed the amount you paid to Last Price in the 30 days preceding the claim.

9. Changes to these terms

We may update these Terms of Use at any time. When we do, we will update the date at the top of the page. Continued use of the platform after an update constitutes your acceptance of the revised terms. Material changes will be communicated via the platform or your registered email address.
